FalaFala – Terms of Use

Effective Date: August 10, 2026

These Terms of Use ("Terms") govern your access to and use of the FalaFala mobile application (the "App") provided by The Happy Broadcast, Inc. ("Company," "we," "us," or "our").

By downloading, installing, accessing, or using the App, you agree to be legally bound by these Terms. If you do not agree, do not download, access, or use the App.

Eligibility

FalaFala is a language-learning and language-play application. The App is not directed to children under 13 years of age. If you are between 13 and 18, you may use the App only with the permission and supervision of a parent or legal guardian.

By using the App, you represent and warrant that:

  • you meet the applicable age requirement;
  • you have the legal capacity to enter into these Terms; and
  • you are not prohibited from using the App under applicable law.

Limited License

Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the App solely for personal, non-commercial purposes.

All rights not expressly granted are reserved.

You may not:

  • copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the App;
  • reverse engineer, decompile, disassemble, or attempt to extract source code;
  • modify or create derivative works;
  • circumvent security features;
  • interfere with the App's operation, servers, or networks; or
  • use automated tools to access or interact with the App.

We may suspend, restrict, or terminate your access at any time for violation of these Terms.

App Features

FalaFala is designed to help users speak, play, and bring language to life through interactive language activities.

Depending on the version of the App, FalaFala may allow users to:

  • explore language-learning activities, prompts, games, or exercises;
  • practice vocabulary, pronunciation, listening, or conversation skills;
  • submit responses or other material for use within an activity; and
  • use optional device features, such as audio or speech features, where enabled.

We reserve the right at any time to modify or update App functionality, add or remove features, change requirements, correct errors, or discontinue features. We do not guarantee uninterrupted availability of the App or any particular activity, language, lesson, or feature.

User Accounts and User Submissions

Some features may require an account. If you create an account, you agree that:

  • information you provide is accurate and current;
  • you will not impersonate another person;
  • you will not create accounts for unlawful purposes; and
  • you are responsible for activity occurring under your account.

If the App allows you to submit text, audio, recordings, answers, or other material (collectively, "User Submissions"), you are responsible for that material and represent that you have the rights necessary to submit it.

You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Submissions as reasonably necessary to operate, maintain, improve, and provide the App. This license ends when the User Submission is deleted, except where retention is reasonably necessary for security, legal compliance, dispute resolution, or backup purposes.

Acceptable Use

You agree not to use the App to:

  • violate any law or regulation;
  • harass, threaten, abuse, or impersonate another person;
  • submit unlawful, defamatory, hateful, or infringing material;
  • submit malicious software, code, or links;
  • attempt to access another user's account or data without authorization;
  • interfere with App functionality or security;
  • use the App to develop or train a competing service without permission; or
  • engage in fraudulent, deceptive, or abusive activity.

We may investigate violations and take any action we deem appropriate, including removing User Submissions or suspending or terminating accounts.

Audio and Speech Features

The App may offer features that use your device microphone, audio input, speech recognition, or speech-processing services. If you use such a feature, you are responsible for obtaining any permission required from people whose voice or speech you submit.

Do not submit another person's voice or personal information without appropriate permission. Audio and speech inputs may be processed by the Company and service providers as described in the Privacy Policy.

Audio input is processed to generate a transcription and pronunciation result. Raw audio recordings are not retained after the pronunciation evaluation is complete. We may retain the resulting score, transcription, and limited technical metadata as needed to provide the feature, maintain security, and improve the App.

Subscriptions and In-App Purchases

The App may offer subscriptions, premium features, or in-app purchases. Purchases are processed through the Apple App Store or other authorized payment providers, and additional purchase terms may apply. Apple manages billing, payment processing, and refunds according to its applicable terms and policies. We do not receive or store your full payment card information.

Intellectual Property

All intellectual property rights in the App, including software, design, branding, graphics, text, logos, activities, audio, features, functionality, and related content, are owned by The Happy Broadcast, Inc. or its licensors.

You acquire no ownership rights by using the App. Unauthorized use may result in legal action.

Privacy

Your use of the App is also governed by the FalaFala Privacy Policy at `/apps/falafala/privacy`.

By using the App, you acknowledge that we may collect and process information necessary to operate the App, provide language activities, support optional audio or speech features, maintain security, analyze performance, and improve the Services. Please review the Privacy Policy for additional details.

Third-Party Services

The App may rely on or integrate with third-party services, including Apple services, PostgreSQL database services, Google AdMob advertising services, and OpenAI speech, transcription, or artificial-intelligence services. These providers process information only as reasonably necessary to provide their services to us and as described in the Privacy Policy.

We are not responsible for the availability, content, policies, or practices of third-party services. Your use of third-party services may be subject to separate terms and conditions.

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT GUARANTEE THAT:

  • the App will be uninterrupted;
  • language activities, translations, pronunciations, or explanations will always be accurate or complete;
  • speech recognition or audio features will work in every environment or for every speaker; or
  • the App will be error-free, secure, or free of harmful components.

The App is an educational and entertainment tool and is not a substitute for professional language instruction, translation, interpretation, medical advice, or legal advice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE HAPPY BROADCAST, INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF DATA; LOSS OF GOODWILL; INTERRUPTION OF SERVICE; OR DAMAGES ARISING FROM USER SUBMISSIONS OR THIRD-PARTY SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $50 USD OR (B) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless The Happy Broadcast, Inc., its affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, costs, or expenses arising from your use of the App, your violation of these Terms, your User Submissions, or your violation of any law or third-party rights.

Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

You agree that any dispute arising out of or relating to the App or these Terms shall be resolved through final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except where prohibited by applicable law.

Arbitration shall be conducted in English, take place in the United States, and be conducted on an individual basis only. You waive the right to a jury trial, participate in a class action, or consolidate claims with others, to the extent permitted by law.

If this arbitration provision is found unenforceable, disputes shall be resolved exclusively in the state or federal courts located in Delaware.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Modifications

We may update these Terms at any time. When material changes are made, we may provide notice through the App or by other reasonable means. Continued use of the App after changes become effective constitutes acceptance of the revised Terms.

Termination

We may suspend, restrict, or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination, your right to use the App immediately ends. Provisions concerning ownership, User Submissions, disclaimers, limitations of liability, indemnification, arbitration, and governing law survive termination.
