These Terms of Use ("Terms") are a binding agreement between you and The Happy Broadcast, Inc. ("The Happy Broadcast," "Company," "we," "our," or "us") governing your access to and use of the Other Half mobile application, the Other Half pages on The Happy Broadcast website, and related services (collectively, the "Services").

Please read these Terms carefully, including the Dispute Resolution, Arbitration, and Class Action Waiver in Section 19. By downloading, installing, accessing, or using Other Half, you agree to these Terms and our [Privacy Policy](https://www.thehappybroadcast.com/apps/other-half/privacy). If you do not agree, do not use the Services.

1. Eligibility

Other Half is a dating service for adults. You may use the Services only if:

  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms;
  • you are legally permitted to use the Services under the laws that apply to you;
  • you have not previously been removed from the Services unless we have given you written permission to return; and
  • your use of the Services will not violate any court order or legal restriction.

We may ask you to provide information or take reasonable steps to confirm eligibility. If we learn that someone under 18 has created an account or appears in content, we may remove the account or content and take other appropriate action.

2. Your Account

Other Half currently uses Sign in with Apple. You agree to:

  • provide accurate, current, and complete information;
  • maintain only one personal account unless we authorize otherwise;
  • keep access to your Apple account and device secure;
  • promptly update information that changes;
  • use your own identity and not impersonate anyone; and
  • notify us if you suspect unauthorized access or use.

You are responsible for activity through your account to the extent permitted by law. Your account is personal and may not be sold, transferred, licensed, or shared.

3. What Other Half Provides

Other Half is a video-first dating platform. The Services may include profiles and profile videos, compatibility questions, daily candidate recommendations, match explanations, likes and passes, mutual matches, chat and icebreakers, Trust Signals, reporting and blocking, location-based availability, waitlists, and paid Other Half Plus features.

We may add, change, test, suspend, or discontinue features at any time. Features may vary by location, account, device, subscription, or test group.

Other Half may be listed broadly in the App Store while matching access opens city by city or region by region. If your area does not have enough members for a useful experience, you may be placed on a waitlist or have limited functionality. We do not guarantee when any location will open or that a particular number or type of candidates will be available.

4. Dating-Service and Matchmaking Disclaimer

Other Half provides tools for adults to discover and communicate with one another. We are not a marriage broker, employment agency, therapist, investigator, background-check service, or guarantor of anyone's identity, conduct, intentions, statements, compatibility, availability, or safety.

Profile videos, compatibility scores, match reasons, Trust Signals, behavior indicators, reports, moderation, and other product features may help you make decisions, but they are not identity verification, criminal-history screening, professional advice, or a guarantee of a safe interaction or successful relationship. People may provide inaccurate information, misrepresent themselves, behave differently online and offline, or misuse the Services despite our rules and safeguards.

No compatibility result is a prediction or promise. You are responsible for deciding whether and how to interact with another member.

5. Your Safety and Interactions with Other Members

You are solely responsible for your interactions with other members, including communications and in-person meetings. Use good judgment and take reasonable precautions. In particular:

  • do not send money, gift cards, financial credentials, passwords, or verification codes to someone you meet through the Services;
  • keep sensitive personal information private until trust has been established;
  • meet in a public place, arrange your own transportation, and tell someone you trust where you will be;
  • do not proceed with an interaction if you feel pressured, threatened, deceived, or unsafe;
  • use blocking and reporting tools when appropriate; and
  • contact local emergency services—not Other Half—if you or someone else faces immediate danger.

We do not control member conduct and are not responsible for acts or omissions of members, whether online or offline, to the maximum extent permitted by law.

6. Your Content

"Your Content" means content or information you submit, upload, record, send, or otherwise make available through the Services, including profile details, videos, audio, images, questionnaire answers, messages, reactions, reports, and support communications.

You retain ownership of Your Content. You give the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt for technical formatting, transmit, display, and otherwise use Your Content only as reasonably necessary to operate, secure, improve, and provide the Services and to comply with law. For example, this license lets us encode and stream your profile video, display your profile to potential matches, process compatibility answers, deliver messages, and review reported content.

This license lasts while Your Content is available through the Services and for a reasonable period afterward for backups, safety, legal compliance, dispute resolution, and enforcement. We will not use your profile video or private messages in public advertising without separate permission, except that we may use deidentified or aggregated insights that do not reasonably identify you.

You represent and warrant that:

  • you own Your Content or have all rights and permissions needed to provide it;
  • Your Content is accurate where it states facts about you;
  • each person appearing or heard in Your Content is at least 18 and has consented to its creation and use;
  • Your Content and our permitted use of it do not violate law or another person's rights; and
  • Your Content complies with these Terms.

Do not include a minor, another person's private information, copyrighted media you do not have permission to use, or a recording made without required consent.

7. Acceptable Use and Community Rules

You may not use the Services to create, upload, send, solicit, promote, facilitate, or engage in:

  • sexual exploitation, sexual content involving minors, grooming, trafficking, prostitution, or non-consensual sexual content;
  • nudity, pornography, or graphic sexual content;
  • harassment, stalking, bullying, threats, intimidation, blackmail, or encouragement of violence or self-harm;
  • hateful, dehumanizing, or discriminatory conduct based on a protected characteristic;
  • impersonation, catfishing, deceptive profiles, manipulated identity media, scams, phishing, fraud, or requests for money;
  • non-consensual recording, doxxing, or disclosure of another person's private or sensitive information;
  • spam, commercial solicitation, promotion, recruitment, political campaigning, or use primarily unrelated to personal dating;
  • illegal drugs, weapons, unlawful goods or services, or any other illegal activity;
  • infringement of copyright, trademark, privacy, publicity, or other rights;
  • malware, harmful code, abusive links, or attempts to compromise an account, device, server, or network;
  • bots, scraping, crawling, data harvesting, facial-recognition databases, model training, automated messaging, or automated account creation without our written permission;
  • reverse engineering, decompiling, discovering source code, circumventing access controls, or interfering with the Services;
  • copying or redistributing another member's profile, video, messages, or information outside the Services without permission;
  • submitting false or abusive reports, manipulating Trust Signals or engagement metrics, or evading enforcement; or
  • any conduct that could harm members, the public, the Company, or the integrity of the Services.

You may not use information obtained through Other Half to make decisions about employment, housing, credit, insurance, education, or any other purpose governed by eligibility or anti-discrimination laws.

8. Reports, Blocking, Moderation, and Enforcement

You can report profiles or conduct and block other members using in-app tools. We may review accounts, content, communications, device or technical signals, reports, and relevant activity to enforce these Terms, protect users, and comply with law. We are not obligated to monitor every interaction and cannot guarantee that we will identify or prevent every violation.

We may remove content; limit profile visibility; issue warnings; restrict features; preserve information; place an account under review; suspend or terminate an account; prevent a person, device, or identifier from returning; or refer a matter to law enforcement. We may take action without advance notice when reasonably necessary for safety, security, legal compliance, or protection of the Services.

Reports should be truthful and made in good faith. We may not be able to share the outcome of an investigation because of privacy, safety, or legal constraints.

9. Location, Waitlists, and Availability

Location features depend on your permission, device data, and the information you provide. Distances, neighborhoods, and location labels may be approximate or inaccurate. Do not rely on them to determine a member's exact location or safety.

Access to matching may depend on local member density, eligibility, product capacity, and other operational factors. Joining a waitlist does not guarantee access by a particular date.

We do not guarantee uninterrupted operation, delivery of notifications, continuous access to any feature, or the continued availability of any member, match, message, or content.

10. Other Half Plus, Subscriptions, and Purchases

Other Half may offer auto-renewable subscriptions or in-app purchases through the Apple App Store. Before purchase, the App Store purchase screen will show the product, price, billing period, trial or promotional terms if any, and included features.

By purchasing a subscription, you authorize Apple to charge your Apple account at the displayed price and frequency. Unless canceled at least 24 hours before the end of the current subscription period or as otherwise stated by Apple, an auto-renewable subscription may renew automatically. You can manage or cancel it in your Apple account subscription settings. Apple handles billing and refund requests under its applicable terms and policies.

Deleting the Other Half app, taking a break, or deleting your Other Half account does not automatically cancel a subscription managed by Apple. Cancel it separately through Apple. Paid features may change as permitted by law, but we will not remove access already purchased for the applicable paid period except where required for safety, law, fraud prevention, or enforcement of these Terms.

Taxes may apply. Except where law or Apple's policies require otherwise, purchases are final and non-refundable.

11. Limited License to You

Subject to these Terms, we grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the app on Apple-branded products you own or control, as permitted by the App Store Usage Rules, solely for personal, non-commercial use.

No rights are granted except as expressly stated. We may revoke this license if you violate these Terms.

12. Our Intellectual Property

The Services—including software, designs, text, graphics, logos, trademarks, brand elements, interfaces, matching methods, questionnaires, compatibility explanations, Trust Signals, and other content provided by us—are owned by or licensed to The Happy Broadcast and are protected by intellectual-property laws.

You may not copy, modify, distribute, sell, license, create derivative works from, publicly display, or commercially exploit any part of the Services unless we give you written permission or applicable law expressly allows it.

If you send suggestions or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission.

13. Privacy

Our [Privacy Policy](https://www.thehappybroadcast.com/apps/other-half/privacy) explains how we collect, use, disclose, and retain personal information. By using Other Half, you acknowledge those practices.

14. Third-Party Services and Links

The Services rely on or link to services provided by Apple and other third parties. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party content, availability, products, transactions, or practices, except to the extent required by law.

15. Suspension, Termination, and Account Deletion

You may stop using the Services at any time. You can delete your account from the account settings in the app. A "Take a Break" feature pauses or limits activity but does not delete your account.

We may suspend, limit, or terminate your access if we reasonably believe you violated these Terms, created risk or legal exposure, engaged in unsafe or fraudulent conduct, or if doing so is necessary to protect users or the Services. Where required by applicable law, we will provide notice and an opportunity to appeal.

On termination, your license ends immediately. Sections that by their nature should survive—including Sections 4–8 and 10–21—will survive. Account deletion and retention are further described in the Privacy Policy.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT CONTENT OR MEMBER INFORMATION WILL BE ACCURATE; THAT ANY MEMBER IS WHO THEY CLAIM TO BE; THAT MATCHES WILL BE AVAILABLE, COMPATIBLE, SAFE, OR INTERESTED; OR THAT USE OF THE SERVICES WILL RESULT IN A DATE, RELATIONSHIP, OR OTHER OUTCOME.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms excludes non-waivable consumer rights.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR OPPORTUNITY; SERVICE INTERRUPTION; OR DAMAGES ARISING FROM OR RELATED TO ANOTHER MEMBER, ONLINE OR OFFLINE INTERACTIONS, USER CONTENT, THIRD-PARTY SERVICES, OR UNAUTHORIZED ACCESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO THE COMPANY THROUGH THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or personal injury caused by negligence where applicable law prohibits limitation.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, and reasonable costs (including attorneys' fees) arising from or related to Your Content, your conduct, your violation of these Terms, your misuse of the Services, or your violation of another person's rights or applicable law.

This section does not require you to indemnify a party for its own unlawful conduct and does not apply where prohibited by applicable law.

19. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to a jury trial or to participate in a class action.

Informal resolution first

Before filing a claim, you and the Company agree to try to resolve it informally for 30 days. Send a written notice to legal@thehappybroadcast.com describing your name, the email or Apple relay email associated with your account, the facts, and the relief requested. We will send notices to the email associated with your account. This requirement does not prevent either party from seeking urgent injunctive relief where appropriate.

Individual binding arbitration

Except for claims eligible for small-claims court and requests for injunctive relief concerning infringement or misuse of intellectual property, any dispute arising out of or relating to the Services, these Terms, or your relationship with the Company will be resolved by individual binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms.

The Federal Arbitration Act governs this arbitration provision. Arbitration may be conducted by phone, video, documents, or in person as provided by the AAA rules. The arbitrator may award the same individual remedies a court could award. The Company will pay arbitration fees to the extent required by the AAA Consumer Arbitration Rules or applicable law.

No class or representative proceedings

YOU AND THE COMPANY AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. Unless both parties agree, the arbitrator may not combine claims or preside over a representative proceeding. This waiver does not prevent you from participating in a class-wide settlement.

Opting out

You may opt out of arbitration by emailing legal@thehappybroadcast.com within 30 days after you first accept these Terms. Include your full name, the email or Apple relay email associated with your account, and a clear statement that you opt out of the Other Half arbitration agreement. Opting out will not affect your access to the Services or the remaining Terms.

If arbitration does not apply

If you properly opt out, or if a dispute is not subject to arbitration, you and the Company consent to exclusive jurisdiction in the state and federal courts located in Delaware, except that either party may bring an eligible claim in small-claims court. If applicable law entitles you to bring a claim in your home courts, this paragraph does not take away that right.

If part of this Section 19 is found unenforceable, it will be severed to the minimum extent necessary. If the class-action waiver is found unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court after arbitrable matters are resolved.

20. Governing Law

These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Delaware, without regard to conflict-of-law rules. Mandatory consumer protections of your place of residence continue to apply where they cannot lawfully be waived.

21. Apple-Specific Terms

If you downloaded Other Half from Apple's App Store:

  • these Terms are between you and the Company, not Apple;
  • Apple has no obligation to provide maintenance or support for Other Half;
  • to the extent any warranty is required by law and is not effectively disclaimed, you may notify Apple for a refund of the purchase price, if any, and Apple has no other warranty obligation;
  • the Company, not Apple, is responsible for addressing claims relating to the app, including product-liability, legal-compliance, and consumer-protection claims;
  • the Company, not Apple, is responsible for investigating and resolving claims that the app infringes third-party intellectual-property rights;
  • you represent that you are not located in a country subject to a U.S. government embargo and are not listed on a U.S. government restricted-party list;
  • you must comply with applicable third-party agreement terms when using the app; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce this Section 21 against you.

22. Changes to These Terms

We may update these Terms as the Services or law changes. We will update the “Last Updated” date and, when required, give notice through the Services, by email, or by another reasonable method. If a change materially affects your rights, it will apply prospectively after the stated effective date. Continued use after revised Terms take effect means you accept them. If you do not agree, stop using the Services and delete your account.

23. General Terms

These Terms and the Privacy Policy are the entire agreement between you and the Company concerning the Services, except for additional terms presented for a specific feature or purchase. If an additional term conflicts with these Terms, the additional term controls for that feature.

If any provision is unenforceable, it will be modified or severed to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Headings are for convenience only.
