1. Agreement to These Terms

By downloading, installing, or using The Happy Broadcast mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not download or use the App.

These Terms incorporate our Privacy Policy by reference. Together they form the entire agreement between you and Happy Broadcast, Inc. ("Happy Broadcast," "we," "us," or "our") regarding your use of the App.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this age requirement. If you are between 13 and 17 years old, a parent or legal guardian should review these Terms with you. Users under 13 are not permitted to use the App, and we will delete any data we discover was collected from a user under 13.

You represent that you are not subject to any legal restriction that would prevent you from entering into these Terms or using the App.

3. License to Use the App

Subject to these Terms, Happy Broadcast grants you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on a device you own or control, for personal, non-commercial purposes only.

You may not:

  • Copy, modify, distribute, sell, or sublicence the App or any portion of it
  • Reverse engineer, decompile, or disassemble the App
  • Remove or alter any proprietary notices or labels
  • Use the App for commercial purposes, including reselling access to others
  • Use automated means (bots, scripts, scrapers) to access or interact with the App
  • Interfere with or disrupt the App's servers, networks, or infrastructure
  • Attempt to gain unauthorised access to any part of the App or its backend systems
  • Use the App in any unlawful manner or in violation of these Terms

We may suspend or terminate your access if you violate these Terms.

4. Apple App Store Additional Terms

The App is distributed through the Apple App Store. You acknowledge that:

  • These Terms are between you and Happy Broadcast only, not Apple, Inc.
  • Apple has no obligation to provide maintenance or support for the App.
  • Apple is not responsible for any claims by you or third parties relating to the App or your use of it.
  • Apple is a third-party beneficiary of these Terms and may enforce them against you.
  • Your use of the App is also subject to Apple's App Store Terms of Service.

5. User Content

What counts as User Content. "User Content" means any information you submit through the App, including your display name and the reactions (Smile, Hopeful, Inspiring) you assign to stories.

Licence you grant us. By submitting User Content, you grant Happy Broadcast a perpetual, worldwide, royalty-free, non-exclusive licence to use, store, display, and distribute that content in connection with operating and improving the App. This includes displaying your display name on the Leaderboard and including your aggregated reaction data in story engagement counts.

Your responsibility. You are solely responsible for your User Content. You represent that your User Content does not violate any applicable law or the rights of any third party.

Our rights. We may remove or modify any User Content at any time, without notice, for any reason, including if we determine it violates these Terms or our policies.

6. Display Names and the Leaderboard

Public visibility. If you enter a display name and appear on the Leaderboard, your display name and ranking are visible to all App users. We recommend using a pseudonym rather than your real name.

Conduct standards. Your display name must not:

  • Contain real personal contact information (email, phone number, address)
  • Be offensive, harassing, defamatory, or discriminatory
  • Impersonate any person or entity
  • Violate any applicable law

Entertainment purpose. The Leaderboard and streak rankings are provided for motivational and entertainment purposes only. Rankings are not binding entitlements, do not confer any monetary or legal value, and may be adjusted, reset, or removed at any time at our sole discretion.

No artificial inflation. You may not use automated means, multiple devices, or any other method to artificially inflate your streak, read count, or share count. We may remove or disqualify any account we reasonably believe has engaged in such conduct.

7. Reading Streaks

Your reading streak tracks consecutive days on which you engage with the App's story feed. Streaks are:

  • For motivational and entertainment purposes only. A streak does not represent a contractual entitlement, and we make no guarantee that streak data will be preserved across App updates, device migrations, or service interruptions.
  • Subject to correction. We may adjust or reset streak data if we detect technical errors or policy violations.
  • Not compensable. Loss of a streak due to any cause — including App downtime, technical errors, or account suspension — does not entitle you to any compensation.

8. Push Notifications

By enabling push notifications, you consent to receive:

  • A daily reminder notification when your story feed is ready.
  • A weekly roundup notification (typically delivered on Sundays) summarising the week's top stories.

You may withdraw consent and disable notifications at any time through iOS Settings → Notifications → The Happy Broadcast, or through the App's Settings screen. Disabling notifications does not affect your access to any other App features.

9. Story Sharing

You may share individual stories from the App for personal, non-commercial purposes using the built-in share features (native share sheet or Instagram Stories). You may not:

  • Misrepresent the source of any shared content
  • Use shared content for commercial purposes
  • Systematically reproduce or republish stories in a way that competes with our service

All story content remains the intellectual property of Happy Broadcast, Inc. or its content providers. Sharing a story does not transfer any ownership or copyright to you.

10. Intellectual Property

All content in the App — including but not limited to story text, illustrations, graphics, interface design, software code, trademarks, logos, and the "The Happy Broadcast" name — is owned by or licensed to Happy Broadcast, Inc. and is protected by copyright, trademark, and other intellectual property laws.

Your use of the App does not grant you any ownership interest in any App content. Unauthorised use of our intellectual property may result in legal action.

Third-party news sources and content providers retain ownership of their respective content; our licence to display such content does not extend to you beyond the personal, in-App use permitted by these Terms.

11. In-App Purchases

The App does not currently offer in-app purchases or subscriptions. If we introduce paid features in the future, we will:

  • Update these Terms before doing so
  • Process all payments through Apple's billing infrastructure, subject to Apple's payment terms
  • Clearly disclose all pricing before any purchase is completed

All sales of digital items will be final unless otherwise required by applicable law.

12. Third-Party Links and Services

The App may contain links to third-party websites, social platforms, or services. These links are provided for convenience only. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

13. Prohibited Conduct

In addition to the restrictions in Section 3, you agree not to:

  • Transmit any malware, viruses, or harmful code through the App
  • Harvest or collect information about other users without their consent
  • Use the App to harass, threaten, or harm any person
  • Violate any applicable local, national, or international law or regulation in connection with your use of the App

14. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAPPY BROADCAST DISCLAIMS ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

Story content is curated for positivity and general interest and is not intended as professional advice of any kind (medical, legal, financial, or otherwise).

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAPPY BROADCAST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF DATA, PROFITS, GOODWILL, OR STREAKS
  • DAMAGES ARISING FROM THIRD-PARTY CONTENT, ADVERTISING, OR SERVICES

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) USD $50.00 OR (B) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Happy Broadcast, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the App in violation of these Terms
  • Your User Content
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Your violation of any applicable law

17. Dispute Resolution

Informal Resolution. If you have a dispute with us, please contact legal@thehappybroadcast.com first. We will attempt to resolve it informally within 30 days.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the App will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in the United States. Judgement on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver. YOU AND HAPPY BROADCAST EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes must be brought individually.

Exceptions. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm. Claims within the jurisdiction of small claims court may be brought there.

Statute of Limitations. Any claim must be brought within one year of the date the cause of action arose, or it is permanently barred.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. Termination

We may suspend or terminate your access to the App at any time, for any reason or no reason, without notice. Upon termination, your licence to use the App immediately ends.

The following sections survive termination: 5 (User Content licence), 7 (Streaks), 10 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and 20 (General Provisions).

20. Modifications

We may update these Terms at any time by posting the revised Terms in the App or on our website and updating the Effective Date. For material changes, we will provide additional in-App notice. Your continued use of the App after the updated Effective Date constitutes your acceptance of the revised Terms.

21. General Provisions

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Happy Broadcast regarding the App.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • No Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment. You may not assign these Terms or any of your rights under them. We may assign these Terms freely, including in connection with a merger or acquisition.
  • Language. These Terms are written in English. In the event of a conflict between an English version and any translation, the English version controls.
  • Force Majeure. We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, internet outages, or government actions.
